SCC delivers integrated services across Residential Aged Care, Retirement Communities and In-Home Services. They have established an outstanding reputation over the past 50 years for providing the highest standards of care and placing customers and their families at the centre of support and care-based decisions.  SCC provides services to over 3,500 customers across 60 locations, employing 2,200 staff and with annual revenue of around $170 million p.a.
SCC are seeking to appoint the newly created role of Company Secretary and Legal Counsel to partner with the CEO, Board and Executive leadership team. In this collaborative and customer-focused culture, you will:
  • Act as SCC’s chief governance officer and ensure compliance with all statutory requirements pursuant to the Corporations Act 2001 and the Australian Charities and Not-For-Profits Commission Act 2012; and provide advice to Board members on all aspects of relevant statutory requirements, as required;
  • Collaborate with the Chair and CEO to develop, implement and manage all Board and SCC’s governance processes and systems (non-clinical);
  • Assist the leadership team in the preparation of high-quality Board papers and management of Board documentation and communications;
  • Develop and implement a Continuous Improvement Plan in relation to Board Governance;
  • Collaborate with the leadership team in developing and maintaining processes to ensure compliance with consumer law, aged care legislation and other legal obligations;
  • Review and advise on commercial contracts, property leases and redevelopment contracts;
  • Advise on disputes, inquiries and investigations as required.
To succeed in this role, you will possess a blend of company secretarial and general commercial law experience (in-house or private practice), excellent legal credentials and a current practising certificate. You will demonstrate strong legal drafting skills, in particular plain English drafting for consumer facing documents. We are seeking excellent communications skills, first class organisational abilities and an ability to manage complexity and risk within an organisation which puts its clients at the centre of all that they do.  Your experience may have been gained within the aged care / disability / human services sector or alternatively an adjacent setting; whatever your background, and affinity and connection with SCC’s values and mission is essential.
